The copyrights and content being licensed is owned by the producer (hereafter referred to as "Licensor") being brokered for by AsianXXXContent.com (hereafter referred to as "Content Broker"). In accordance with this agreement, Content Broker grants licensee named below a non-exclusive website license (hereafter referred to as "License") to display the content on up to ten (10) websites owned by Licensee. Licensee pays a one-time fee for a lifetime license. Licensor retains complete titles and ownership of the content, and gives up no legal rights as part of this agreement. Licensee agrees not to sell or distribute the content via any physical method (such as diskette, CD-ROM, paper printing, or any other technology not specifically named in this document) without additional written permission by Content Broker and payment of fees. Licensee acknowledges that unauthorized reproduction of copies of the licensed content may constitute a serious crime, and that such actions may also result in a suit for damages, injunctive relief, and attorney fees, pursuant to this agreement and to other rights that the licensor may have. Licensee may not alter the content to make it appear to be the copyrighted property of anyone other than the Licensor. Small URL's or logos from the licensee may be added to the content. Licensee is allowed to alter the conten by renaming, resizing, cropping, compressing, and/or color correcting content as needed.

Licensee may distribute/display the content only via internet website(s) which are intended for end user usage only. Any content not behind some sort of members only protected section must be clearly identified as being from the Licensee owned site. Preferably this is done by placing a URL on the content. Licensee may not rent, lease, transfer, network, reprise display, or distribute the content, except as specifically provided in this agreement. Licensee may not knowingly allow other websites to use this content, either by renting it's usage on licensee's site, or by allowing them to link to licensee's website. Changing the subject of the content (such as morphing, or editing another person or object into the content, or changing the appearance of one that is there), is NOT allowed.

Licensee's license is automatically revoked in the event that licensee violates one or more of the provisions of this license, requests a refund of the license fee, requests a chargeback, if the license payment is deemed not valid, or if the licensee declares bankruptcy. Involuntary revocation of the license does not grant licensee any refund of payment made.

Licensee holds Licensor and Content Broker harmless for any legal issues related to the distribution of the material as it relates to community standards and adult entertainment laws as set forth by any city/county, state or country of licensee and their website(s). Neither Licensor nor Content Broker warrant this material to be acceptable in any/all communities, and licensee assumes full responsibility for determining what content is suitable for distribution to various locales.

Licensor states that this content is in compliance with 18 U.S.C. 2257 and applicable US Federal Laws. Model Releases and Proof of Age for all models are maintained by Licensor and Content Broker. A copy of said information is provided to Licensee free of charge upon completion of purchase. Licensee takes full responsibility to maintain records in accordance with secondary producer statutes of 18 U.S.C. 2257. Licensor holds copyrights to the content; no other persons have a legal claim against this content. However Licensor will be solely responsible for handling any copyright disputes to this content that should arise. All claims must be directed to Content Broker immediately. Licensee is encouraged to fully comply with US Statute 18 U.S.C. 2257 in regards to posting of the Custodian of Records information, and maintenance of records for this content. Licensee is not allowed to make publicly available or known the real name(s) and/or addresses of any model appearing in any content purchased.

This agreement shall be binding to any successors of the parties. Licensee does not have the right to assign its interests in this agreement to any other party, unless the prior written consent of Content Broker is obtained and a transfer fee paid. A transfer fee of 50% of purchase price, with a minimum of $10, applies for each set. If multiple sets are transferred to and from the same parties simultaneously, the maximum fee will be $2,000.

This agreement contains the entire agreement of the parties and there are no other promises or conditions in any other agreement whether oral or written. This agreement supercedes any prior written or oral agreements between the parties. This agreement goes into effect as of the purchase date of the content. If any provision of this agreement shall be held to be invalid or unenforceable for any reason, the remaining provisions shall continue to be valid and enforceable. If a court finds that any provision of this agreement is invalid or unenforceable, but that by limiting such provision it would become valid or enforceable, then such provision shall be deemed to be written, construed, and enforced as so limited.

The failure of either party to enforce any provision of this agreement shall not be construed as a waiver or limitation of that party's right to subsequently enforce and compel strict compliance with every provision of this agreement.

Licensee may distribute the content only via internet website(s) which are intended for end user usage only. Licensee is permitted to distribute content to mobile cellular telephones and other portable electronic devices as long as the distribution is only via internet website(s) which are intended for end user usage only. Any content not behind some sort of members only protected section must be clearly identified as being from the Licensee owned site. Preferably this is done by placing a URL on the content. Licensee may not rent, lease, transfer, network, reprise display, or distribute the content, except as specifically provided in this agreement. Licensee may not knowingly allow other websites to use this content, either by renting it's usage on licensee's site, or by allowing them to link to licensee's website. Changing the subject of the content (such as morphing, editing another person or object into the content, or changing the appearance of one that is there), is NOT allowed.

Allowed Digital Still Image Usage:
Licensee may use up to 5% of the content (rounded to the nearest whole number) for banners, logos, and HTML design. In sets of less than 20 images, one image can be used for those purposes. Banners with licensed content on them must be linked to a site owned by licensee, and content used in HTML design elements must be located on a website owned by the licensee. Up to thirty (30) images may be used at one time in a thumbnail post URL, so long as the material remains hosted at the licensee's website. If the material is to be hosted at the Thumbnail post's URL, then up to fifteen (15) images may be used, providing that all images are clearly identified as being from the Licensee owned site, and a link to that site is provided.

Allowed Digital Video Usage:
Licensee may use up to 5% of the content (rounded to the nearest whole second) for samples, and HTML design. In video content of less than 10 minutes, 30 seconds can be used for those purposes. Content and samples used in HTML design elements must be located on a website owned by the licensee.

Up to sixty (60) seconds may be used at one time in a movie post URL, so long as the material remains hosted at the licensee's website. If the material is to be hosted at the movie post's URL, Then up to thirty (30) seconds may be used, providing that all content is clearly identified as being from the Licensee owned site, and a link to that site is provided.
